In brief

Item 1 states three times when the orphan drug exclusivity (ODE) for [product] in [indication] ends. The product section and the patents section say [date] ([date] plus [wording masked]), but the regulatory section says [date]. The same [date] sentence was in last year's Form 10-K. [product] is the company's largest product, and this exclusivity bears on when generic versions can be approved.

The evidence, as filed

Masked extract: Form 10-K 2025, page 13
Form 10-K 2025, page 13[product] is [n]% of net product sales, so its exclusivity period is material

What the filing shows, and what the rule requires

What the filing showsWhat the rule requires

p.37: '[product] [wording masked] [indication] through [date]'; p.13 and p.28: through [date]

One date throughout Item 1: 'through [date] ([wording masked])'

The rule

Regulation S-K Item 101(c)(1)

When describing each segment, only information material to an understanding of the business taken as a whole is required.

Why it applies here. [date] is neither the original [date] expiry nor the extended [date] expiry, and it has been carried into a second annual report. The Form 10-Q for the quarter ended [date] again gives [date].

Why it matters

  • A reader relying on the regulatory section would understate [product]'s [indication] exclusivity by a year.
  • At most a staff comment asking for the dates to be reconciled; no figure is affected.

How often the SEC staff raises this. In 1,100 SEC staff comment letters on fiscal 2023 and 2024 Forms 10-K, released January 2025 to October 2026, business, properties and other Regulation S-K items drew 62 of the 1,774 numbered comments (3.5%): topic 8 of 25 by frequency.

Exposure

Low: a staff comment asking the company to reconcile the dates in future filings is the realistic consequence; no figure is affected.

Our workings

Fact

the product section says FDA recognized [wording masked] [product] in [indication] through [date], later extended to [date]; the patents section says through [date] including [wording masked]; the '[wording masked]' paragraph says through [date]. Last year's Form 10-K had both the [date] date and the same [date] sentence (its p.36). The risk factors and the MD&A of this 10-K also give [date], and the later Form 10-Q for the quarter ended [date] again gives [date].

Our inference

[date] is neither the original [date] expiry nor the extended [date] expiry, so the regulatory paragraph is wrong and has been carried forward. Item 101(c)(1) asks for information material to an understanding of the business; the exclusivity of a product earning [n]% of net product sales is such information, so the three statements should agree.

Management’s best defense, and our reply

Management would say this is a typographical slip in a general regulatory paragraph, and that Item 1 gives the correct [date] date twice, including the precise day in the product section, so no reader is misled. They may add that the later Form 10-Q states the correct date. That reduces the weight but does not cure the point: the [date] sentence has now appeared unchanged in two consecutive annual reports, and it concerns the exclusivity of the product that earns [n]% of net product sales.

The fix

  1. In '[wording masked]', replace 'through [date]' with 'through [date] ([wording masked])'.
