In brief

Item 1 says European Union approval of the four Product line 2 [product type] [device type] products was received in [date], and the pipeline graphic says the CE mark was received for all products in [date]. Two pages later, on the same page as that graphic, the text says the CE mark was obtained in [date]. The notes to the financial statements use [date], the date from which the first [supplier 2] milestone payment is measured. The same date conflict was printed in the prior-year Form 10-K. This year the product count also differs: Item 1 says four products were approved in [date], while the notes (printed pages 71 and 72) say the [indication] product was already approved when the [supplier 2] Europe Agreement was signed on [date] and that [date] brought European Union Medical Device Regulation approval for the remaining three.

What the filing shows, and what the rule requires

What the filing showsWhat the rule requires

Item 1 states [date] (text on p.4 and the pipeline graphic on p.6) and [date] (text on p.6) for the same European approval / CE mark; the notes on p.72 use [date].

One date for the European Union Medical Device Regulation (EU MDR) approval and CE marking of the Product line 2 devices, used consistently in Item 1, the pipeline graphic and the notes, with one product count (three approved in [date] plus the [indication] product approved before [date], or four); if the certificate and the CE marking fell on different dates, each step named with its own date.

What we checked. Item 1 text and pipeline graphic (printed pages 4-6), the EU device regulation description (p.12), the intangible-asset and commitments notes (printed pages 72 and 85) and the prior-year Form 10-K (printed pages 4 and 6).

The rule

Regulation S-K Item 101(c)(1)(ii)

Status of development efforts for new or enhanced products, trends in market demand and competitive conditions;

Version: Text in force at the date of this review · Source: Regulation S-K, 17 CFR 229.101(c)(1)(ii) (eCFR, as amended by Release 33-10825)

Why it applies here. a reader cannot tell from Item 1 when the European products became marketable, and the December date conflicts with the date the notes use to schedule the first milestone payment. Item 101(c)(1)(ii) of Regulation S-K asks for the status of development efforts for new products; the status is given, but with two dates for the same event.

Why it matters

Investors and the staff reading Item 1 see two dates for the event that started European commercialisation and the [supplier 2] milestone clock; the inconsistency invites a staff question and weakens confidence in the regulatory-timeline disclosures, which the Company also uses to forecast the 2026 European launch.

Exposure

No penalty attaches to an inconsistent narrative date; at most a staff comment asking the Company to reconcile the dates in future filings.

Our workings

Fact

p.4 says that in [date] regulatory approval in the European Union was received for four Product line 2 products. Printed page 6 says, in the text above the pipeline graphic, that the CE mark for the Product line 2 collection was obtained in [date], while the key-date column of the graphic on the same page reads 'EU MDR CE Mark Received for all Products [date]'. The notes (p.72) say the Company received EU [wording masked] products in [date] and that the first milestone payment is payable in [date], [wording masked] prior-year Form 10-K printed the same October / December pair (prior-year printed pages 4 and 6).

Management’s best defense, and our reply

Management could argue that the two dates describe two different regulatory steps: under the EU Medical Device Regulation the notified body issues its certificate first, and the manufacturer then draws up its declaration of conformity and affixes the CE mark, so an [date] approval and a [date] CE marking can both be accurate. It could add that the notes speak of approval, not CE marking, so the milestone date in the notes is unaffected. However, the Company's own pipeline graphic on the same page says the CE mark itself was received in [date], so the text and the graphic give two dates for the same step, and Item 1 nowhere explains that two steps are meant.

The fix

  1. Use one date throughout, for example: 'In [date], our partner [supplier 2] received EU MDR certification and CE marking for four Product line 2 products ([product names])'; if the CE marking followed the certificate, say 'EU MDR certification in [date]; CE marking completed in [date]' and use the same words in the graphic and the notes.
