6.04 Slips in defined terms, section cross-references and wording in the Introductory Note, Item 1 and Item 1A
Company H · a US-listed aerospace services company · Drafting slip
In brief
The front part of the Form 10-K carries several drafting slips. The [investor] investor's name is misspelt, and the Exchange Act is misnamed. One defined term does not match the term it defines. Three cross-references point to a section title, a Part or a risk-factor heading that does not exist in the filing. There are also four typing slips. Most of the name and cross-reference slips also appear in the prior-year Form 10-K. The prior-year Form 10-K carried the same misnamed Exchange Act (page 1), the same mismatched 'Term Loan B-2' defined term (page 2), the same cross-references to a 'Cautionary Note Regarding Forward-Looking Statements' section that is headed 'FORWARD-LOOKING STATEMENTS' (pages 3, 5, 10 and 52), the same 'annual or consolidated' wording in the material weakness definition, and an MD&A reference to a tariff risk factor under a heading Item 1A does not use (page 27).

What the filing shows, and what the rule requires
| What the filing shows | What the rule requires |
|---|---|
'[investor].' (the proxy statement names it '[investor].'); 'U.S. Securities and Exchange Act of 1934' (the cover page uses 'Securities Exchange Act of 1934'); 'the 2024 [wording masked] defined term is 'Prior 2024 Term Loan B-2 Facility'); references to a section 'Cautionary Note Regarding Forward-Looking Statements' (the section is headed 'FORWARD-LOOKING STATEMENTS'); 'Part II, Item 3. Legal Proceedings' (Item 3 is in Part I); an MD&A reference to a risk factor 'United States trade policies that restrict imports or increase import tariffs ...' under Business and Industry risks (the tariff risk factor is 'Changes to U.S. tariff and import/export regulations ...' under Government Regulation and Litigation); 'and has not experienced'; 'Furthermore, On'; 'as as of'; 'AI technologies We expect'; a material weakness defined by reference to 'annual or consolidated' statements (the next page says 'annual or interim'). | '[investor].'; 'Securities Exchange Act of 1934'; 'Prior 2024 Term Loan B-2 Facility'; cross-references that use the section's actual heading ('Forward-Looking Statements'), 'Part I, Item 3' and the actual tariff risk-factor heading; 'and have not experienced'; 'Furthermore, on'; 'as of'; a full stop before 'We expect'; 'annual or interim'. |
Why it matters
No effect on any figure or required disclosure; the broken cross-references send readers to sections that do not exist under those names.
Exposure
Drafting only.
Our workings
Each slip is shown on its own page below. The investor's name, the Exchange Act name, the 'Cautionary Note' references and the MD&A tariff cross-reference appear in the same words in the prior-year Form 10-K, and so does the 'Part II, Item 3' reference. None changes a figure or a required statement. They are corrections for the next filing's drafting checklist.
Management’s best defense, and our reply
Management would say these are immaterial typographical points that no investor would rely on, and that most were in the prior-year filing without comment. That is right, which is why they are listed only as drafting slips. They are still worth correcting because the same text rolls forward each year.
The fix
- Correct the investor's name to '[investor].' and the statute to 'Securities Exchange Act of 1934'. Align the defined term and the three cross-references with the actual headings, and correct the four typing slips. Add a heading-and-cross-reference check to the 10-K drafting checklist.
