4.04 Item 1 dates the [litigant] settlement to [date], names one breast cancer trial two ways, and misquotes two risk-factor headings (both years)
Company G · a US-listed specialty pharmaceutical company · Drafting slip
In brief
The Competition section of Item 1 says the litigation with [litigant] was settled in [date]. The defined terms, the legal-proceedings note and the current report on Form 8-K all date the global settlement agreement [date]. Separately, the research narrative calls the Phase 3 breast cancer trial [trial] while the pipeline table calls it [trial]-BC-303. In this and the prior-year 10-K, Item 1's pricing and reimbursement cross-reference quotes two risk-factor headings in words Item 1A does not use: 'group purchasing organizations' for 'other organizations', and the pricing heading without 'including changes to Medicare'.

What the filing shows, and what the rule requires
| What the filing shows | What the rule requires |
|---|---|
Item 1: 'settled in [date]'; R&D narrative: '[trial]'; Item 1 cross-reference (both years) quotes 'group purchasing organizations' and a pricing heading without 'including changes to Medicare' | 'settled in [date]' (agreement dated [date]); one trial name, '[trial]-BC-303', in both places; the cross-reference quoting the Item 1A headings word for word |
Why it matters
A reader comparing Item 1 with the legal-proceedings note sees two different settlement dates for the same agreement; no figure or conclusion changes.
Exposure
Drafting only; no filing or figure is affected.
Our workings
the Item 1 Competition text dates the [litigant] settlement to [date]. The defined term '[litigant] Litigation', the legal-proceedings note (F-31) and the Form 8-K filed on [date] under Item 8.01 each give [date] as the date of the global settlement agreement. No [date] event in the litigation or its settlement is described anywhere else in the report.
the month in Item 1 is a slip. The trial-name difference is a label inconsistency between the narrative and the pipeline table. Neither changes any figure.
Management’s best defense, and our reply
Management may say the parties reached the commercial terms in [date] and only signed the agreement in October, so September is not wrong in substance. They may add that the note gives the precise date and the Item 1 text is a summary. However, no [date] agreement, term sheet or court event with [litigant] is disclosed anywhere in the report or in the Form 8-K, which describes [date] as the date the agreement was entered into, so the Item 1 month should match.
The fix
- Item 1 Competition: replace 'which was settled in [date]' with 'which was settled in [date]'; use '[trial]-BC-303' in the R&D narrative.
