In brief

The fiscal 2024 10-K described an ongoing Phase 3 trial of [product] in Japan, with a plan to approach the Japanese regulator about a new drug application, and listed [product code], an extended-release [product], as a planned trial. Both were still in the 10-Q for the third quarter of 2025. The fiscal 2025 10-K drops both from its research narrative and from its table of key ongoing and planned projects without saying what happened, although it does explain why [product code] and [product code] ended. The next 10-Q shows the Japan program was still running.

What the filing shows, and what the rule requires

What the filing showsWhat the rule requires

The fiscal 2025 research narrative and pipeline table carry no sentence or row on the [product] Phase 3 trial in Japan or on [product code]; the fiscal 2024 10-K listed both.

One line on each, as the 10-K already gives for [product code] and [product code]: the status of the Japan trial and the regulatory engagement, and whether [product code] is still planned or has been dropped.

Why it matters

A reader comparing the two years cannot tell whether the Japan program and [product code] were stopped, paused or simply left out; for the Japan program the later 10-Q shows it continued.

Exposure

Voluntary pipeline narrative; no filing consequence expected.

Our workings

Fact

the fiscal 2024 10-K said the company was [wording masked] planned to engage with the Japanese regulator about a potential new drug application, and listed '[product] [wording masked])' for [product code]. The 10-Q for the third quarter of 2025 repeated both. The fiscal 2025 10-K mentions neither anywhere; it does report that development of [product code] was stopped and that [product code] was discontinued. The 10-Q for the first quarter of 2026 says the company continues to generate data from the Japan trial and to work with the Japanese regulator.

Our inference

the Japan program did not end, so the fiscal 2025 10-K understates the pipeline it describes rather than reporting a failure; the status of [product code] cannot be found in any filing.

Management’s best defense, and our reply

The table is headed 'key' projects, and management may have judged that a trial that missed its primary endpoint and an early-stage formulation were no longer key. Neither Item 101 nor Item 303 requires a program-by-program pipeline, and neither program is material to results. However, the same 10-K explains why [product code] and [product code] left the pipeline, the 10-Q filed three months earlier still listed both programs, and the next 10-Q again describes the Japan trial as continuing, so the silence reads as an oversight rather than a judgment; that is why it is raised only as a drafting point.

The fix

  1. Add one line to each pipeline section, for example: 'We continue to generate data from the Phase 3 trial of [product] in Japan and to [wording masked]', and state the current status of [product code] (continuing, paused or discontinued).
