In brief

Item 105(a) of Regulation S-K asks for generic risk factors to be placed at the end of the risk factor section under the caption 'General Risk Factors'. The Form 10-K places them at the end, as required, but under the caption 'General Risks', in both the summary and the body; the prior-year Form 10-K used the same caption.

What the filing shows, and what the rule requires

What the filing showsWhat the rule requires

Caption 'General Risks' in the risk factor summary and at the start of the generic risk factors in the body.

Caption 'General Risk Factors', as worded in Item 105(a).

The rule

Regulation S-K Item 105(a)

to the extent generic risk factors are presented, disclose them at the end of the risk factor section under the caption “General Risk Factors.”

Version: In force from [date] · Source: 17 CFR 229.105(a), as amended by Release 33-10825

Why it applies here. The generic risks (litigation, personnel, catastrophic events, dividends) are correctly grouped at the end of Item 1A, so the substance of the rule is met; only the caption wording departs from the text of the rule. No reader would decide differently, so this is a drafting correction.

Why it matters

None beyond presentation; the staff does not usually comment on the caption alone.

Management’s best defense, and our reply

The company can say the generic risks are placed at the end of Item 1A as the rule intends and that 'General Risks' conveys the same meaning to a reader. It may add that the staff has not raised the caption in its reviews. That is right on substance; the point is kept only as a one-line drafting correction to match the wording the rule prescribes.

The fix

  1. Rename the caption to 'General Risk Factors' in the summary and the body of Item 1A.
