3.07 The 'Providers' customer category is renamed '[customer category]' and gains three points of revenue mix with no explanation
Company F · a US-listed networking equipment company · SEC-style question
In brief
MD&A says 2025 revenue came approximately [n]% from [largest customer category], [n]% from Enterprise and 20% from [customer category]. The prior-year 10-K grouped the same customer base as [largest customer category], Enterprise and 'Providers', at [n]%, 35% and [n]%. The 10-K gives no 2024 comparative and does not say whether the renamed category was also redefined, so a reader cannot tell whether the 3-point shift from Enterprise is growth or customers moved between categories.

2025: [n]% / [n]% / 20% ([customer category]); 2024 10-K: [n]% / 35% / [n]% (Providers); no comparative, no statement on the change of name or membership | A one-line statement whether the category definitions or customer allocations changed in 2025 and, if they did, the 2024 mix on the 2025 basis |
The rule
Regulation S-K Item 303(a) (MD&A objective)
A discussion and analysis that meets the requirements of this paragraph (a) is expected to better allow investors to view the registrant from management's perspective.

Why it applies here. the new name points to a wider category (AI and specialty clouds), and the company has told the staff that allocations move; without a statement either way the year-on-year shift cannot be read as a trend. The Commission's 2020 guidance on key metrics in MD&A expects a change in how a metric is defined or calculated to be explained, with recast comparatives where needed; that guidance is interpretive, which is why this is a question rather than a compliance gap.
Why it matters
Investors and the SEC staff, who asked for this mix, may read the 3-point move from Enterprise to providers as a trend when it may partly be a reclassification.
How often the SEC staff raises this. In 1,100 SEC staff comment letters on fiscal 2023 and 2024 Forms 10-K, released January 2025 to October 2026, MD&A results of operations drew 239 of the 1,774 numbered comments (13.5%): the third most frequent topic.
Exposure
A question only; at most a staff comment asking for the basis of the categories and recast comparatives in future filings.
Our workings
the 2025 MD&A overview lists three categories, '[largest customer category], [customer category], and Enterprise', with shares of [n]%, [n]% and 20%.
the 2024 10-K listed '[largest customer category], Enterprise and Providers' with [n]%, 35% and [n]%.
in its [date] reply to the SEC staff the company said it would give these percentages annually in MD&A and that the selection of categories and the allocation of customers to them has changed from time to time and will continue to change.
Enterprise fell 3 points and the renamed provider category rose 3 points (workings).
| Customer category | 2024 (prior-year 10-K) | 2025 (this 10-K) | Change in points |
|---|---|---|---|
| [largest customer category] | [n]% | [n]% | [n] - [n] = 0 |
| Enterprise | 35% | [n]% | [n] - [n] = -3 |
| Providers / [customer category] | [n]% | 20% | [n] - [n] = 3 |
| Total | [n] + [n] + [n] = [n] | [n] + [n] + [n] = [n] |
Management’s best defense, and our reply
The company would say the percentages are approximate, are given annually only because the staff asked for them, and are described in its own reply to the staff as subjective allocations that change at management's discretion, so no comparability was promised. It may add that the 2024 figures are in last year's 10-K for anyone who wants them and that a rename to reflect AI-focused providers is descriptive, not a change of method. Item 1 of both Form 10-Ks also describes this group in the same words ('other internet and service providers, including specialty and AI [customer category]'), which supports a rename without a change of membership. That case is tenable, which is why this is put as a question. However, the staff asked for the mix precisely so investors could see the business from management's perspective, and a renamed category that gains 3 points with no word on whether its membership changed defeats that purpose.
The fix
- Add after the percentages: 'In 2025 we renamed the Providers category [customer category] [and moved certain customers from Enterprise]; on the same basis the 2024 mix was approximately [ ]% / [ ]% / [ ]%.'
Question for the company
Did the change from 'Providers' to '[customer category]' in 2025 involve moving any customers between categories (for example from Enterprise), and if so what was the 2024 revenue mix on the 2025 basis?

Absence check
- Document
- Form 10-K 2025
- Where it would appear
- The percentage of revenue derived from these customers
- What is missing
- a statement whether the customer categories or the allocation of customers to them changed in 2025, and the 2024 mix on the 2025 basis
- Pages looked at
- p.1-3 and 7 (Item 1 business and customers), p.52-53 (MD&A overview); Form 10-K 2024 (prior year) p.56
- Result
- 'Specialty Providers' hits only the category lists on p.1 and [n], which name the category without defining it or comparing it with 2024; 'reclassif' hits p.70 (other comprehensive income reclassification) and p.73 (prior-period amounts in the statements), neither about customer categories; 'redefin' hits p.3 (the 'campus' concept); 'customer categor' has no hit.
