In brief

The Capped Calls paragraph in Note 7 refers to the "condensed consolidated balance sheets", wording from the quarterly reports; the annual statements are full consolidated balance sheets. Note 9 says "holder of Class B common stock are entitled to ten votes per share" (holders). Both slips were also in the prior-year 10-K.

What the filing shows, and what the rule requires

What the filing showsWhat the rule requires

Note 7: "recorded as a reduction to additional paid-in capital in the accompanying condensed consolidated balance sheets"; Note 9: "holder of Class B common stock are entitled".

"in the accompanying consolidated balance sheets"; "holders of Class B common stock are entitled".

What we checked. Notes 7 to 13 read in full; prior-year 10-K notes compared

Why it matters

Cosmetic; a careful reader may question whether the annual statements are condensed.

Exposure

None.

Our workings

Fact

the two phrases are printed as quoted.

Our inference

the first is carried over from the Form 10-Q template and the second is a grammar slip; neither changes any figure or measurement.

Management’s best defense, and our reply

Management would say the words are cosmetic and that the statements are plainly the full audited annual statements. That is right, which is why the point is only a drafting slip to correct in the next filing.

The fix

  1. Delete 'condensed' in the Capped Calls paragraph and read 'holders of Class B common stock are entitled'.
