In brief

The Material Cash Requirements paragraph says the Founders royalty ends in the quarter after the tenth anniversary of the first US sale of Product 1. The liquidity section, the fair value note and the auditor's critical audit matter all say it ends in the second quarter of 2029, which is that anniversary. The same wording difference was in the prior-year report.

What the filing shows, and what the rule requires

What the filing showsWhat the rule requires

MD&A Material Cash Requirements: 'the quarter after the 10-year anniversary'; elsewhere: 'the second quarter of 2029, which is the 10-year anniversary'.

One end date throughout, for example 'these obligations terminate at the end of the second quarter of 2029'.

Why it matters

None to the figures; a reader cannot tell from the 10-K whether one more quarterly payment is due.

Our workings

Fact

p.56 places the end of the royalty one quarter after the anniversary; printed pages 52 and 73 place it in the anniversary quarter, the second quarter of 2029. The 2024 report carried the same two wordings.

Our inference

a wording slip that changes no reported figure, but it describes the term of a payment stream that is measured at fair value, so the two should match.

Management’s best defense, and our reply

Management would say both wordings describe the same contract, and that a royalty earned on second-quarter sales is paid in the following quarter, so 'the quarter after' can describe the last payment date. The answer: if that is the meaning, the paragraph should say the last payment falls in the third quarter of 2029 for sales to the end of the second quarter; as written, the two passages give different end dates.

The fix

  1. Use 'terminate at the end of the second quarter of 2029' in the Material Cash Requirements paragraph, matching the liquidity section and Note 3.
