5.02 Wording, acronym and label slips in Item 1 and Item 1A, most carried over from the prior-year Form 10-K
Company C · a US-listed specialty healthcare products company · Drafting slip
In brief
Thirteen small slips in Item 1 and Item 1A: a supplier name spelt two ways, a product labelled 'Lift' in the pipeline graphic but 'Form' in the text, a bullet split in the middle of a phrase, three misspelt acronyms, three garbled phrases, two risk-factor sub-captions not set in the bold italic used for the others, a currency risk factor that refers to 'these currencies' without naming any, and a cross-reference to 'contractual arrangements discussed above' that are not discussed. All but the graphic label, the first sub-caption and the currency sentence were also in the prior-year Form 10-K.

What the filing shows, and what the rule requires

Printed page 6 '[supplier 1]' (page 2 and the exhibit index: '[supplier 1]'); graphic on page 6 'Lift' (text: 'Form'); page 9 the biologics license application (BLA) bullet broken after 'safety;'; page 13 'CRPA' (then 'CPRA'); page 16 first sub-caption in roman type; page 21 'demand or approval our products' and 'government files or penalties'; page 22 'the HIPPA' and 'BCPI Act'; page 25 'these currencies' with no currency named (the prior-year sentence naming the British pound and the euro was deleted); page 29 a second sub-caption in roman type; [n] 'may not be commercially or more available'; [n] 'restricted by the contractual arrangements discussed above', with no such arrangements discussed earlier. | '[supplier 1]'; 'Form' in the graphic; one bullet reading 'substantive evidence of safety, purity and potency'; 'CPRA'; bold italic sub-captions on pages 16 and 29; 'demand or approval for our products'; 'government fines or penalties'; 'HIPAA'; 'BPCI Act'; the currencies named again (as in the prior year) or the sentence recast; 'may not be available on commercially reasonable terms'; the cross-reference deleted or the restricting arrangements described. |
Why it matters
Cosmetic only; repeated slips in the risk factors suggest the section is rolled forward without a full proof-read.
Exposure
No regulatory consequence.
Our workings
Each slip is shown on its page below; the four later slips in Item 1A (printed pages 25 to 39) were found by a second reader and their pages are attached to this point. None changes a figure or a required disclosure; together they are proof-reading points for the next Form 10-K, where most have now been carried for two years. The currency sentence is the one slip made this year by an edit: deleting the line that named the currencies left the rest of the risk factor pointing at nothing.
Management’s best defense, and our reply
The Company could say these are immaterial typographical slips that no investor would misread, and that the 'Lift' label reflects the product's name in its partner's European range. Both points are accepted: the slips are listed only as drafting corrections, and the label should still match the name used in the text and on the US approval.
The fix
- Correct the thirteen slips listed in the should-be column and add a proof-reading pass of Items 1 and 1A against the defined-terms list and the cross-references before filing.
