2.05 The EU orphan market exclusivity date given for [product] does not follow the ten-year rule Item 1 describes
Company G · a US-listed specialty pharmaceutical company · SEC-style question
In brief
Item 1 says EU orphan medicines receive ten years of orphan market exclusivity (OME) from marketing authorization, and that the European Commission authorized [product] in [date]. It then states that [product]'s OME runs through [date], eight years after authorization. For [product] and [product] the dates given are exactly ten years after their EU approvals.

What the filing shows, and what the rule requires
| What the filing shows | What the rule requires |
|---|---|
p.38: '[product] [wording masked] [date]' | Either the OME end date that follows from the [date] authorization ([date] on the ten-year rule) or an explanation of why the period is shorter |
The rule
Regulation S-K Item 101(c)(1)
Why it applies here. the date may confuse data exclusivity with OME, or the OME may have been granted for a shorter period for a reason not stated. The EU register entry was not available to settle it, so this is put as a question.
Why it matters
If [date] is the data-exclusivity date, Item 1 understates [product]'s EU orphan protection by two years; if it is correct, the reason for the shorter period is not explained.
How often the SEC staff raises this. In 1,100 SEC staff comment letters on fiscal 2023 and 2024 Forms 10-K, released January 2025 to October 2026, business, properties and other Regulation S-K items drew 62 of the 1,774 numbered comments (3.5%): topic 8 of 25 by frequency.

Our workings
the regulatory section states that [wording masked] upon marketing authorization; Item 1 states the European Commission granted conditional marketing authorization for [product] in [date]; p.38 states [product]'s OME runs through [date]. For [product] the company itself explains its OME ([date]) as ten years from EC approval, and [product]'s OME ([date]) is ten years after its [date] authorization.
[date] plus ten years is [date]; [date] is eight years after authorization, which matches the length of EU data exclusivity described on p.37, not OME.
| Product | EU authorization (as printed) | OME end (as printed) | Period |
|---|---|---|---|
| [product] | ten years before OME end | [date] | ten years |
| [product] ([indication]) | [date] | [date] | ten years |
| [product] | [date] | [date] | eight years |
Management’s best defense, and our reply
Management may have the EU register record and know of a reason the period differs, for example a date counted from an earlier decision or a reduction applied to the designation. The company's regulatory team, not an outside reader, holds the authoritative record. However, Item 1 itself describes a ten-year period running from marketing authorization and applies it exactly for [product] and [product], so a two-year shorter period for [product] needs either correction or explanation.
The fix
- Confirm the OME expiry in the EU register for orphan medicinal products and state it (or the reason for a shorter period) in the next Form 10-K.
Question for the company
What is the end date of [product]'s EU [wording masked] register, and if it is [date] rather than ten years after the [date] authorization, what shortens it?
