In brief

Item 1 says that at the end of 2025 about [n]% of the [n] [wording masked] [n]% refrigerated vans, with the rest specialty trailers. The prior-year 10-K said [n]% dry vans and [n]% refrigerated vans out of [n] trailers. Nothing in the report explains a shift of that size out of the specialty specialty fleet, and the trailer fleet's average age is given as [n] years at both year-ends.

The evidence, as filed

What the filing shows, and what the rule requires

What the filing showsWhat the rule requires

End-2025 mix: about [n]% dry vans, [n]% refrigerated, remainder specialty specialty ([n] trailers); end-2024 mix as published: about [n]% dry vans, [n]% refrigerated, remainder specialty specialty ([n] trailers); no explanation of the change.

Fleet-mix percentages that are prepared on the same basis each year, or a short note saying why the mix changed (a disposal, a reclassification of specialty trailers, or a correction of the prior-year figure).

Why it matters

A reader comparing the two [n]-Ks cannot tell whether the specialty specialty fleet shrank, was reclassified, or was misstated in one year; it weakens confidence in the operating statistics in Item 1.

Exposure

No penalty; voluntary operating statistic.

Our workings

Fact

the two Revenue Equipment paragraphs give the mix quoted above; the 2025 Item 1 and the risk factors still describe the specialty feed and live-haul business ([acquisition 2]) as an operating part of the Segment 2 segment, and no disposal of specialty trailers is described.

Our inference

either the 2024 or the 2025 percentages are on a different basis, or a large part of the specialty fleet was reclassified. The figures are voluntary operating statistics, so this is a wording and consistency point, not a compliance gap.

Management’s best defense, and our reply

Management could say the percentages are approximate, voluntary and immaterial to the financial statements, and that the fleet mix did change as the Segment 2 specialty business replaced or released specialty equipment during 2025. It could also say that no investor decision turns on the trailer-type split. However, the swing is large, the report gives no reason for it and the fleet age is unchanged, so a one-line explanation or a correction is still needed.

The fix

  1. Confirm the end-2024 and end-2025 trailer mix from the fleet register; if the basis changed, add: 'The change in mix reflects [the reclassification of specialty trailers to dry van / the disposal of N specialty trailers].'
