For CFOs and controllers.

Know what a careful reader will ask about your 10-K, while you can still change it.

Your risks, answered

What you are worried about, and what we do about it.

The worryAn SEC comment letter after filing.
What we do

Every page read against every other page, your earlier filings and the rules in force for the period, so you see what the SEC staff would ask while there is time to change the draft.

The worryA restatement or an inconsistency someone else finds first.
What we do

Figures and statements are tied across the financial statements, the notes and the narrative. Each point shows the page and the words, so your team can fix it the same day.

The worryThe draft leaking.
What we do

An NDA that expressly binds us to keep the draft confidential (the agreement Regulation FD Rule 100(b)(2)(ii) looks for), and our reviewer bound by your insider trading policy. Never through this website or by email. How drafts are handled.

The worryFriction with the auditor.
What we do

We are not your auditor and do not contact it. The report goes to you and your audit committee chair; whether to share it with the auditor is your decision, and each point carries evidence the auditor can check quickly.

The worryIt will not fit the close calendar.
What we do

Turnaround: 72 hours from the complete 10-K for the 10-K Pre-filing Check; the Full 10-K Review timetable is confirmed at booking. Book the slot before the draft is ready.

The worryAn open-ended fee.
What we do

Fixed prices: a free 3-finding teaser, USD 1,950 for the 10-K Pre-filing Check and USD 5,950 for the Full 10-K Review. Paid in advance, in US dollars. See prices.

No testimonials yet. A better offer instead.

We are taking our first clients in this market and will not invent references. Founding-client offer: 20% off your first engagement booked before 31 March 2027; we ask for a short reference call in return. The free 3-finding teaser stays free.

How we prove each point

Four things on every observation. Check them yourself.

  1. 1

    The page

The page number and the highlighted words from your 10-K, so your team finds it in seconds.

  2. 2

    The rule

The requirement quoted, in the version in force for the period, not today’s.

  3. 3

    The challenge

Management’s best answer argued first. A point is a finding only at 99%; otherwise it is a question, or dropped and counted.

  4. 4

    The review

Every report is reviewed by Sandeep Choudhary before release.

Real 10-K Pre-filing Checks on filed Forms 10-K, with the companies masked: every observation shows the rule, our workings, the likely defense and the evidence.

Before you ask

The objections we hear, answered.

Will our auditor see this as a problem?

It should not. The review is your own reading of your own document, like a second internal reviewer. It does not perform any audit procedure and does not affect the auditor’s independence, because we are not the auditor and are not affiliated with it.

Is this an audit?

No. Not an audit, review or other attestation or assurance engagement, and not legal advice. Pramanex is not a CPA firm and is not registered with the PCAOB. We report observations with evidence; the company and its directors keep every decision.

How accurate is it?

“99%” is the threshold a point must clear to be called a finding, not a measured accuracy rate, and we do not claim one. What you can check: every quotation is matched to the page image, every rule to its official text, a separate pass argues the company’s side, and the report counts how many points were kept, put as questions or dropped.

What if you find nothing?

Then the report says so, and shows what was read, which checks were run and how many candidate points were dropped and why. We do not pad a report to justify the fee. On the free teaser, if fewer than three points meet our standard, we tell you so.

Who is liable if you miss something?

Our liability for an engagement is limited to the fee paid for it, to the extent the law allows, and a report is not exhaustive: a matter not raised is not confirmed as compliant. That is why every point carries its evidence, so your team can check it rather than trust it. Professional liability cover for US engagements is put in place before the first paid US engagement.

Can we start small?

Yes: a free 3-finding teaser on your latest 10-K, from the latest filed 10-K, in 48 hours. No NDA, no draft.
