US engagement terms

1. What we provide

A report of observations on the filing named in the order (for example one Form 10-K), for the package bought: the free teaser, the 10-K Pre-filing Check or the Full 10-K Review. Each observation cites the page, the extract and the rule. The report is AI-assisted and reviewed by a qualified professional before release.

2. Not an audit, no assurance

The service is not an audit, a review of interim financial information, or any other attestation or assurance engagement, and it is not legal, tax or investment advice. We do not express an opinion on the financial statements or on internal control over financial reporting. Pramanex is not a CPA firm and is not registered with the PCAOB. We do not undertake to find every matter, and a report does not mean the SEC staff or any other person will or will not comment on the filing.

3. Your responsibilities

Management is responsible for the filing, its preparation and its controls, and decides what to change. You give us the complete document and tell us if anything we receive is material non-public information.

4. Fees and payment

Fees are fixed, in US dollars, and paid in advance. They exclude any taxes. If our conflicts check means we cannot act, we refund the fee in full. Invoices are issued by Finversal Capital Services Private Limited.

5. Liability

Our total liability for an engagement, however it arises, is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, lost profit, fines or penalties, or decisions taken on the observations. Nothing in these terms limits liability that cannot be limited by law.

6. Confidentiality

We keep your documents, your report and the fact of the engagement confidential, and use them only to perform the engagement. Where a draft is material non-public information, our NDA expressly binds us to confidentiality and our reviewers follow your insider trading policy. Nobody who works on your engagement trades in, advises on or publishes about your securities. We do not publish or share your report. The report is for you; you may share it with your board and its committees, your auditors, your legal advisers and a regulator or court, with its status statement intact.

7. Data handling

We collect only what the engagement needs. Drafts are shared through the secure method agreed in writing, never through this website or by email. Documents are processed by our AI service provider under terms that do not allow training on customer data, and by our reviewers. Where documents are processed is agreed in the engagement letter before anything is shared. We delete your documents 30 days after delivery of the report, or earlier on request, unless the law requires us to keep them. Website enquiries are stored in Mumbai, India; see the privacy notice.

8. Governing law and disputes

These terms are governed by the laws of India. Any dispute is settled by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seated at Cuttack, Odisha, India, in English; hearings may be held online where both parties agree. Either party may seek urgent interim relief from a competent court.
