Is a draft annual report UPSI, and how do you handle it?

Yes. A draft annual report is unpublished price-sensitive information under the SEBI (Prohibition of Insider Trading) Regulations. We sign an NDA and a UPSI undertaking and are entered in your structured digital database before any draft is accepted. Nobody who reviews a draft trades, advises or publishes on that company.

What if we do not want our draft to leave our systems?

Ask about the Enterprise option. We scope a deployment of the engine in your own cloud, with your own AI account, so the draft would stay in your environment. It starts with a paid scoping study and pilot, is priced in a written proposal, and our reviewer works inside your environment under the same NDA.

Can a client remove an observation it disagrees with?

No. The client can respond to or dispute any observation, and the response is recorded alongside it, but an observation is never deleted at the client’s request. The report shows how many points were raised, kept, put as questions and dropped.

Can the report be kept from the audit committee?

Only by a written opt-out, which the report then states on its cover. Dual release to the CFO and the audit committee chair is the contractual default for any review a company commissions on its own report.

Who receives a review that a lender, investor or diligence team commissions?

Only the client who commissioned it. A published-report review is built from public documents alone; the company is not sent the report and receives nothing from us. Investor-facing work is done only through a SEBI-registered research partner.

Is this an audit?

No. It is AI-assisted observations, reviewed by professionals. It is not an audit, not an assurance opinion, not a certification and not legal advice.

Where is our data stored?

Review documents are stored in India and deleted 30 days after delivery. The AI analysis runs on an enterprise AI service that does not use your documents to train its models; where that service processes data outside India, your engagement letter says so before anything is shared.
