The service

What does Pramanex do?

We read a company's annual report the way a regulator, an exchange or an auditor would, and list what does not meet the law or the company's own filings. Each observation shows the page, the highlighted words and the text of the rule, and is reviewed by our professionals before release.

Who is it for?

Listed companies on the main board and the SME platforms, large unlisted companies, audit committees, lenders and diligence teams, and CA and CS firms for their non-audit clients. See Who we serve.

Can a family office or an HNI use Pramanex?

Yes, in two ways. For companies the family owns or controls, a family office can commission a review of their annual reports and monitoring of the holding group’s filings directly. For companies it invests in, the work is investor-facing research, which we do only through a SEBI-registered research analyst partner.

How is this different from the statutory audit or the secretarial audit?

The auditor gives an opinion on the financial statements. The secretarial auditor reports on compliance with specified laws. We read the whole annual report together: the Board's report, the corporate governance report, BRSR, the financial statements and notes, last year's report and your exchange filings, and point out where they disagree with each other or with the rules. It complements both audits and replaces neither.

Which laws and standards do you check against?

For Indian companies: the Companies Act 2013 and its rules, Schedule III, CARO 2020 as reported, SEBI LODR, PIT, ICDR and SAST, BRSR, Ind AS or Indian GAAP, Secretarial Standards SS-1 and SS-2, and stock exchange circulars, in the version in force for the period.

What is the difference between a finding and a question?

A point becomes a finding only if it meets our 99% review standard: the evidence and the rule leave no reasonable doubt. Where judgement is involved, the point is put to you as a question. Points that do not survive are dropped, and the report says how many.

Can you guarantee that the regulator will find nothing?

No. A review reduces the risk of a disclosure error reaching the market; it cannot remove it, and it does not cover every possible matter. What we can promise is that each point we raise is supported by the page and the rule.

Process and timing

How do we start?

Choose the service in Book a review and send the request. We run a conflicts check within one working day and confirm the fee. You sign the NDA and the UPSI undertaking and record us in your structured digital database. You pay, share the draft through the secure method we agree, and the clock starts.

What do you need from us?

For a pre-publication review: a complete draft (every section, including the financial statements and notes) and last year's published report. For a published-report review: nothing; we work from public documents.

How long does it take?

Ten working days from payment and a complete draft. A 48-hour express service is available on request, subject to capacity, for up to five companies at a time.

What do we receive?

A report of observations, each with its page, highlighted extract, the rule quoted and suggested wording, and a review workbook in which your team can record a response to every point.

Can you look at our revised draft?

Yes. A second pass on the revised draft can be added when you book. It checks that each point was dealt with and reads the changed text.

Can you write the annual report for us?

Drafting is a separate service: Pramanex Draft, for the Board's report, the CG report, MD&A, BRSR and the AGM notice. It is quoted after we see last year's report.

Confidentiality and inside information

Is our draft annual report UPSI?

Yes. A draft annual report is unpublished price-sensitive information under the SEBI (Prohibition of Insider Trading) Regulations. We receive it only after the NDA and UPSI undertaking are signed and we are entered in your structured digital database. Do not send a draft through this website or by email.

Who sees our draft?

Only the professionals assigned to your engagement, and the AI service that processes it under enterprise terms. Nobody who reviews a draft trades in, advises on or publishes about that company.

Can the report be kept from the audit committee?

When a company commissions a review of its own report, the CFO and the audit committee chair receive it together. That can be changed only by a written opt-out, which the report then states on its cover.

A lender has commissioned a review of our company. Will we receive it?

No. A published-report review is built only from public documents and is delivered only to the client who commissioned it. The company is not contacted and receives nothing from us.

Do you use our documents to train AI?

No. The AI service we use processes documents under terms that do not allow training on customer data.

Fees and payment

How is the fee set?

By published rules: the size of the company and the complexity of the report (subsidiaries, length, BRSR, listed debt). Book a review shows the estimate as you choose; it is confirmed in writing after the conflicts check, before any payment. GST is added at 18%.

When do we pay?

In full, in advance, after the fee is confirmed and before work starts.

Are there discounts?

A launch offer of 20% on your first engagement booked before 31 March 2027. For published-report reviews of several companies, the discount rises with the number of companies, so adding a company never raises the total.

Can we cancel?

If we decline after the conflicts check, you get a full refund. You may cancel before we start processing your documents; after that the fee is not refundable. The website terms give the detail.

Data and security

Where is our data kept?

Review documents for Indian clients are stored in India and deleted 30 days after delivery. If the AI analysis processes data outside India, your engagement letter says so before anything is shared. Website enquiries are stored in Mumbai.

Can the draft stay inside our own systems?

Ask about Enterprise. We scope a deployment of the engine in your own cloud, with your own AI account, starting with a paid scoping study and pilot. See the architecture.

How can someone check that a report is genuine?

On our verify page, which computes the report's fingerprint in the browser. The register opens with our first released report.

What Pramanex is, and is not

Is this an audit or an assurance engagement?

No. It is AI-assisted observations, reviewed by professionals. It is not an audit, not an assurance opinion, not a certification and not legal advice.

Who reviews the observations?

Our professionals, under a written review standard. Pramanex was built by a senior finance professional with more than 20 years in statutory reporting for listed companies and multinational groups.

Is Pramanex a firm of chartered accountants?

No. Pramanex is a service of Finversal Capital Services Private Limited. It does not practise as chartered accountants, sign audit reports or give legal advice.

Can our CA or CS firm use Pramanex?

Yes, for clients you do not audit, or as a second reading on your own engagements. Terms are a fixed licence or per-report fee, never a share of fees. Talk to us about the firm terms.

Can an investor buy a review of a company?

Investor-facing work is done only through a SEBI-registered research analyst partner. Contact us and we will explain how.

Is Pramanex registered with or regulated by SEBI, ICAI, NFRA or any exchange?

No. Pramanex is not registered with SEBI as an investment adviser or research analyst, is not a firm of chartered accountants or company secretaries, and is not affiliated with or endorsed by SEBI, the stock exchanges, MCA, ICAI, ICSI or NFRA. References to their rules are for identification only.

Is anything on this website, or in a report, investment advice?

No. Nothing we publish or deliver is a recommendation to buy, sell or hold any security, or an opinion on a company's value. Investor-facing work is done only through a SEBI-registered research analyst partner.

How is AI used, and what does a person do?

AI reads the documents and proposes candidate observations, with the page, the extract and the rule. A second pass argues the company's side. Our professionals then review every point before release; nothing reaches a report without that review. The report says this on its cover.

Who may rely on a report?

Only the client who commissioned it, for the stated purpose. It may be shared with the company's board and committees, its auditors, a regulator or a court, and legal advisers, with its status statement intact. It may not be published or quoted publicly without our written consent.

What is your liability?

As set out in the service agreement: our total liability for an engagement is limited to the fee paid for it, and we are not liable for indirect loss, penalties or decisions taken on the observations. Nothing limits liability that the law does not allow to be limited.

How do you handle conflicts of interest?

We run a conflicts check before accepting any engagement and decline where we have a conflict. Nobody who reviews a company's draft trades in, advises on or publishes about that company.

Are the companies in the demo and the samples real?

Yes. They are real Indian listed companies, reviewed from their published reports, with names, people, places, dates and distinctive figures masked. We do not publish findings about any named company; our Insights describe patterns only.

How reliable are the figures on this website?

Statistics such as exchange fines are compiled by us from public disclosures, with the source stated. They are general information and may contain errors; check the source before relying on them.

Who do we contact with a complaint or a privacy request?

Does using this website, or contacting you, make us your client?

No. An engagement exists only when a conflicts check is passed, the fee is confirmed, and the service agreement, the order form and the NDA are signed. Until then nothing on this website, in an email or on a call is advice to you or creates any duty to you.

Who are we contracting with?

Pramanex is a brand of Finversal Capital Services Private Limited, a company incorporated in India (CIN U66190OD2025PTC049940). Finversal issues every contract and invoice.

Which law applies, and where are disputes decided?

The law of India. A dispute about an engagement goes first to a meeting of senior people, then to arbitration before a sole arbitrator under the Arbitration and Conciliation Act 1996, seated at Cuttack, Odisha, in English; arbitral awards are enforceable in most countries under the New York Convention. Other disputes about this website go to the courts at Cuttack. A signed engagement letter may set different terms for an engagement.

Does a report cover everything, and does silence mean compliance?

No. A report covers the documents, periods and rules stated in its scope, as they stood on its date. It is not an audit and is not exhaustive. If a matter is not raised, that does not mean the documents comply with the law or are free of error.

Who remains responsible for the annual report?

The company and its directors. We do not prepare, approve, sign, file or certify any report or financial statement. Every decision on an observation, including to change nothing, is yours.

Can someone else rely on a report you gave to a client?

No. A report is prepared for the client who commissioned it, for the stated purpose. We accept no duty of care and no liability to anyone else, including the reviewed company’s shareholders, lenders, investors, auditors or regulators who see a copy. Every report says so on its declaration page.

Will you update a report if the law or the facts change?

No. A report speaks only as at its date, on the documents and the law in force then. We have no duty to update it unless a new engagement is agreed.

May we quote Pramanex or publish a report?

Not without our written consent. You may share a full report, with its declaration page intact, with your board and committees, your auditors, a regulator or court, and your legal advisers.

What if we send confidential information before an NDA is signed?

Please do not. Information sent through this website or by email before an NDA is signed is not received in confidence; we may delete it and accept no responsibility for it.

Can you decline or end an engagement?

Yes: after a conflicts check, where the law prohibits the work (including sanctions laws), if fees are not paid, or if we are asked to change or remove an observation. The service agreement sets out refunds.

How reliable is the information on this website?

It is general information, provided as is, and may be out of date or incomplete; laws change. Statistics we compile from public disclosures state their source. Do not rely on anything here without checking the source or taking professional advice.

Where are the full terms?

The website terms, the privacy notice and, for an engagement, the service agreement and NDA, which we send before you commit. Questions: talk to us.
